Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AIAgenHub website, API, and related services (collectively, the "Service"). AIAgenHub is operated by its developer as an individual (the "Operator"). In these Terms, "AIAgenHub", "we", "us", and "our" refer to the Operator. By creating an account or using the Service in any way, you agree to these Terms. If you do not agree, you may not use the Service.

The Service is a reverse proxy and marketplace that resells access to upstream LLM subscription entitlements, including subscriptions accessed via OAuth (such as Claude and Codex), API-key-based plans (such as Command Code), and coding plans offered by third parties (such as z.ai GLM Coding Plan and OpenCode Go). Publishers attach their own authorized upstream subscriptions; consumers call the Service through OpenAI- and Anthropic-compatible endpoints using an API key.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

AIAgenHub is a subscription-reselling reverse proxy and marketplace. We route consumer requests to upstream model providers through publisher-connected subscriptions and expose OpenAI- and Anthropic-compatible API endpoints. Usage is billed pay-per-token in USDC on the Solana blockchain. Publishers earn a margin on routed usage; AIAgenHub retains a small platform fee.

The Service settles usage in USDC on the Solana blockchain (mainnet). We may change, suspend, or discontinue any feature of the Service at any time.

3. Eligibility

You must be at least 13 years of age (or the minimum age required to consent to data processing in your jurisdiction) to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. You represent that you have the legal authority to enter into these Terms and that you are not prohibited from using the Service under applicable law.

4. Accounts & Security

You are responsible for safeguarding your account credentials and any API keys issued to you. API keys are shown in full exactly once at creation and are stored only as irreversibly hashed values; we cannot recover a lost secret. You must keep your keys confidential and must not share them with unauthorized parties.

You agree to notify us promptly at security@aiagenku.app of any unauthorized access, suspected compromise, or other security incident. We may invalidate active sessions, rotate access, or suspend an account to protect the Service when we suspect abuse, compromise, or a violation of these Terms. You are responsible for all activity that occurs under your account until you notify us of a compromise.

5. Acceptable Use

You agree not to use the Service to:

• violate any applicable law or regulation, or the rights of any third party;
• attempt to disrupt, overload, or impair the Service or any upstream provider, including denial-of-service attacks or abusive request patterns;
• scrape, crawl, or systematically extract data from the Service;
• resell, sublicense, share, or otherwise redistribute access to free-pool models (see Section 6), or resell paid access in a way that breaches Section 6;
• transmit unlawful, harmful, or abusive content, including content involving minors (including CSAM), malware, or other malicious code;
• circumvent rate limits, billing, or access controls.

We may apply rate limits, suspend requests, or terminate access for conduct that we believe violates these Terms or harms the Service, upstream providers, or other users.

6. Resale & Redistribution of Access

Paid models. You may resell, sublicense, or otherwise redistribute access to paid marketplace models you purchase through the Service — for example, by reselling capacity to your own end users or by building a product on top of the Service. You remain the account holder of record: you are responsible for all usage under your API keys, for the conduct of every downstream user you provide access to, and for their compliance with these Terms (including Section 5). You must not misrepresent your relationship with AIAgenHub or with any upstream provider, or present resold access as an official offering of AIAgenHub or of an upstream provider.

Free models. Access to free-pool models — those listed as free/<provider>/<model> and settled at $0 — is provided for your own direct use only. You may not resell, sublicense, share, sub-account, proxy, pool, or otherwise make free-pool access available to any third party, whether for a fee or free of charge.

Free-pool availability is not guaranteed and may be rate-limited, reduced, or withdrawn at any time without notice. We may revoke free-pool access, suspend the account, and forfeit pending balances or payouts where we believe free capacity is being resold or redistributed in breach of this Section.

7. Publisher Obligations

If you connect an upstream subscription as a publisher, you represent and warrant that you own or are duly authorized to use that subscription and to route third-party requests through it. You are solely responsible for complying with the terms of service of your upstream provider(s), including any restrictions on shared, transferred, or resold access.

By connecting an upstream subscription, you grant AIAgenHub a limited, non-exclusive, revocable license to route consumer requests through that upstream to provide the Service. You may disconnect an upstream at any time, subject to in-flight requests.

Publisher payouts are denominated in USDC and are subject to verification, reconciliation, and any applicable platform fees. Fraudulent activity, inflated usage, or misrepresentation of upstream entitlements will result in forfeiture of pending payouts and may lead to suspension.

8. Consumer & Billing

Consumer usage is billed pay-per-token in USDC. You must maintain a sufficient balance to make requests. Unless required by applicable law, balances you add to your account are non-refundable. Published per-token pricing is approximate and may vary based on the upstream model, provider, and rounding; final charges are determined at the time of each request.

The Service operates on Solana mainnet; USDC transferred to the Service represents real monetary value. We are not responsible for losses arising from on-chain transaction errors, wallet misconfiguration, sending funds to an incorrect network or address, or network issues. We may adjust fees, pricing, or supported networks at any time with reasonable notice.

9. API Usage & Rate Limits

We may impose rate limits, quotas, or concurrency caps on API requests to protect the Service and upstream providers. Limits may vary by plan, account standing, and upstream availability. We do not guarantee any specific throughput, uptime, or model availability, and upstream providers may rate-limit or refuse requests independently of AIAgenHub.

10. Upstream Models — No Warranty

The models reachable through the Service are operated by third-party upstream providers. We do not control their outputs, availability, accuracy, or behavior. Model output may be inaccurate, biased, incomplete, or objectionable. You bear all risk arising from your reliance on any output, and you are responsible for evaluating and verifying outputs before use.

11. Intellectual Property

You retain ownership of your data and inputs. To provide the Service, you grant AIAgenHub a limited, worldwide, non-exclusive license to transmit, process, and route your inputs and outputs through connected upstream providers as necessary to fulfill your requests. We do not claim ownership of your content.

Your rights to any model output depend on the terms of the applicable upstream provider. We make no representation regarding your rights in outputs and disclaim any warranty to that effect.

The AIAgenHub name, logos, and service design are owned by AIAgenHub. These Terms grant you no right to use our trademarks except as required to identify the Service as a dependency in good faith.

12. Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

13. Disclaimers

EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AIAGENHUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

AIAGENHUB'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD 100. THIS LIMITATION APPLIES EVEN IF AIAGENHUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to indemnify and hold harmless AIAgenHub and its operators from and against any claims, damages, losses, and expenses (including reasonable fees) arising out of your use of the Service, your violation of these Terms, your infringement of a third party's rights, or, if you are a publisher, your breach of an upstream provider's terms.

16. Termination

You may stop using the Service and delete your account at any time. Account deletion is a soft-delete: we retain financial ledger entries and audit records as needed for legal, accounting, and integrity purposes, and your personal data is handled per our Privacy Policy.

We may suspend or terminate your access at any time, with or without cause or notice, including for abuse, non-payment, or violation of these Terms. Sections that by their nature should survive termination (including billing, intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

17. Modifications to Terms

We may update these Terms from time to time. We will indicate the "Last updated" date above and provide reasonable notice of material changes where appropriate. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

18. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which the Operator resides, without regard to its conflict-of-laws principles. You and AIAgenHub agree to attempt to resolve any dispute informally first. Any dispute that cannot be resolved informally will be brought in the courts of the Operator's jurisdiction of residence, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AIAgenHub regarding the Service and supersede any prior agreements on that subject. If any provision is found unenforceable, the remaining provisions remain in full force.
